1. Agreement to Terms

By accessing or using the website located at axiomservicesllc.com (the “Site”), or by submitting any information through the Site, you (“User,” “you,” or “your”) agree to be bound by these Terms & Conditions (“Terms”), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using this Site. These Terms constitute a legally binding agreement between you and Axiom Services LLC (“Axiom,” “we,” “us,” or “our”).

2. Nature of Services

Axiom Services LLC operates as an independent private money broker. We act solely as an intermediary connecting prospective borrowers with third-party private lending sources. You expressly understand and agree that:

  • Axiom is not a lender. We do not make loans, fund loans, extend credit, or make any credit or lending decisions whatsoever.
  • No guarantee of funding. Submission of information through this Site or engagement with Axiom does not guarantee, warrant, or imply that financing will be obtained. Loan approval, terms, rates, and conditions are determined solely by third-party lenders in their absolute discretion.
  • No fiduciary relationship. Axiom does not owe you a fiduciary duty. We are not your financial advisor, attorney, or agent. Our relationship is that of an independent contractor providing broker referral services.
  • No endorsement of lenders. Referral to any third-party lender does not constitute an endorsement, guarantee, or recommendation of that lender, their products, rates, terms, or business practices.
  • Broker fees. If a loan is obtained as a direct or indirect result of Axiom’s efforts, Axiom may earn a broker fee. Such fees, when applicable, are disclosed in a separate written broker fee agreement and are paid at closing as reflected on the settlement statement. You will never be charged upfront fees by Axiom.

3. Investment Properties Only

All services provided by Axiom are for non-owner occupied investment properties only. Axiom does not assist with residential mortgage loans for primary residences, second homes, or owner-occupied properties. By using this Site, you represent that any property for which you seek financing is or will be a non-owner occupied investment property, and that any loan will be obtained through a business entity (LLC, corporation, etc.), not in your individual capacity as a consumer.

4. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AXIOM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED ON OR THROUGH THE SITE;
  • ANY WARRANTY THAT FINANCING WILL BE OBTAINED OR THAT ANY PARTICULAR RATES, TERMS, OR CONDITIONS WILL BE AVAILABLE;
  • ANY WARRANTY REGARDING THE ACTIONS, OMISSIONS, OR SOLVENCY OF ANY THIRD-PARTY LENDER TO WHICH YOU MAY BE REFERRED.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXIOM SERVICES LLC, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
  • DAMAGES ARISING FROM THE INABILITY TO OBTAIN FINANCING, UNFAVORABLE LOAN TERMS, LOAN DEFAULT, FORECLOSURE, OR ANY OTHER ADVERSE LENDING OUTCOME;
  • DAMAGES ARISING FROM THE ACTS, OMISSIONS, NEGLIGENCE, FRAUD, OR MISCONDUCT OF ANY THIRD-PARTY LENDER, APPRAISER, TITLE COMPANY, CONTRACTOR, OR OTHER PARTY;
  • DAMAGES ARISING FROM YOUR RELIANCE ON ANY INFORMATION, CONTENT, OR MATERIALS PROVIDED ON OR THROUGH THE SITE;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF AXIOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, AXIOM’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 USD).

6. Assumption of Risk

Real estate investment involves substantial risk, including the risk of total loss of invested capital. By using this Site and Axiom’s services, you acknowledge that you are a sophisticated investor who understands the risks inherent in real estate transactions and private money lending, including but not limited to: market fluctuations, construction delays, cost overruns, inability to sell or refinance, tenant defaults, property damage, title defects, environmental liabilities, interest rate risk, and loan default. You assume full responsibility for all investment decisions and their outcomes. Axiom provides no investment advice, and nothing on this Site constitutes a recommendation to purchase, sell, or hold any property.

7. Indemnification

You agree to indemnify, defend, and hold harmless Axiom Services LLC, its owners, members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) any information you submit through the Site; (c) your violation of these Terms; (d) your violation of any law or regulation; (e) your violation of any rights of any third party; (f) any loan transaction in which Axiom served as broker; or (g) any claim by a third-party lender, borrower, contractor, or other party related to a transaction facilitated by Axiom. This indemnification obligation shall survive the termination of these Terms.

8. User Representations

By using this Site, you represent and warrant that:

  • You are at least 18 years of age;
  • All information you provide is truthful, accurate, and complete;
  • You are not submitting information for personal, family, or household purposes (all inquiries relate to business or investment purposes);
  • You will not use the Site for any unlawful purpose, including but not limited to mortgage fraud, identity theft, or money laundering;
  • You understand that Axiom may share your information with third-party lenders and service providers for the purpose of evaluating your financing request;
  • You have the legal authority to bind any entity on whose behalf you are submitting information.

9. Zero Tolerance for Fraud

Axiom maintains a strict zero-tolerance policy for loan fraud. Any submission of information knowingly containing false statements in connection with a mortgage loan application is a federal crime. This includes, without limitation: identity theft, submission of inaccurate or misleading information, falsification or alteration of documents, and misrepresentation of any material fact. Consequences may include criminal prosecution, civil liability, and immediate termination of services.

10. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Axiom. Axiom has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Axiom shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

11. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, and software, is the property of Axiom Services LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from this Site without prior written consent from Axiom.

12. Dispute Resolution and Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR AXIOM’S SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS COMMERCIAL ARBITRATION RULES.

  • No class actions. YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
  • No jury trial. BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
  • Costs. Each party shall bear its own costs and attorneys’ fees, unless the arbitrator determines that a claim was frivolous, in which case the non-prevailing party shall pay the prevailing party’s reasonable costs and attorneys’ fees.
  • Statute of limitations. Any claim must be brought within one (1) year of the date the cause of action arose. Claims brought after this period are permanently barred.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. To the extent any matter is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreements executed between you and Axiom (such as a Broker Fee Agreement), constitute the entire agreement between you and Axiom regarding your use of the Site and supersede all prior agreements and understandings.

16. Modifications

Axiom reserves the right to modify these Terms at any time without prior notice. Changes are effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
